Fluid, LLC SaaS Terms & Conditions

Please read these terms and conditions carefully before using Fluid, LLC's SaaS services. By using our services, you agree to be bound by these terms and conditions.

1. Definitions

• "Client" means the individual or entity that has entered into this agreement with Fluid, LLC to use its SaaS services.
• "Development" means the process of creating custom software for the Client.
• "DevOps" means the process of ensuring that the Client's software is up and running.
• "Enhancements" means the process of adding new features and functionality to the Client's software.
• "SaaS Services" means the software development, DevOps, and Enhancements services provided by Fluid, LLC.

2. Services Provided

Fluid, LLC provides the following SaaS Services:

• Development
• DevOps
• Enhancements

The Client may choose to purchase DevOps, Enhancements, or neither after the Devlopment period.

3. Pricing

Fluid, LLC charges a flat monthly fee of $15,000.00 for Development. For ongoing support, the Client may choose the DevOps package for $3,000 per month or the Enhancements package for $7500 per month. The Client may pause DevOps or Enhancements at any time and there is no cost to start either of those packages back up.

4. Payment Terms

Payment is due on the same day of each month for the next month of service. Fluid, LLC may suspend or terminate the Client's account if payment is not received on time.

5. Ownership of Software and Source Code

Upon payment, the Client will own the software and source code developed by Fluid, LLC.

6. Term and Termination

This agreement will commence on the date the Client signs up for Fluid, LLC's SaaS services and will continue in effect until terminated by either party upon 30 days' written notice to the other party.

7. Governing Law

This agreement will be governed by and construed in accordance with the laws of the State of Iowa.

8. Changes to Terms and Conditions

Fluid, LLC may change these terms and conditions at any time by posting the revised terms and conditions on its website. The Client will be deemed to have accepted the revised terms and conditions by continuing to use Fluid, LLC's SaaS services after the revised terms and conditions have been posted.

9. Entire Agreement

This agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

10. Severability

If any provision of this agreement is held to be invalid or unenforceable, such provision will be struck from this agreement and the remaining provisions will remain in full force and effect.

11. Waiver

No waiver of any provision of this agreement will be effective unless in writing and signed by both parties.

12. Notices

All notices and other communications under this agreement will be in writing to the email addresses as follows:

If to Client: Client email address on file.

13. Headings

The headings in this agreement are for convenience only and will not affect its interpretation.
‍

14. Counterparts

This agreement may be executed in one or more counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument.
